Compass Gateway Service – Terms and Conditions

1. Overview
The Compass Gateway Service is an indemnified calculation service delivered via the Compass Calculation platform. Our Service provides you with a Calculation Certificate, confirming that your Stamp Duty Land Tax (SDLT) calculation has been completed, and a Calculation Audit Document detailing the assessment, the calculations performed, and a record of the information you provided.

2. Quote Validity and Data Accuracy

• All quotes provided are valid for thirty (30) days from the date of issuance. Acceptance after this period may require a refreshed quotation.
• This quotation is based on the information supplied by you. It is your responsibility to ensure that the information provided is accurate and complete; any inaccuracies may result in a fee quote that does not accurately reflect the final service cost.

3. Fees and Payment

• The Compass Gateway Service fee applies to the entire transaction, including any liaison with a tax consultant related to the calculation, regardless of whether a Calculation Certificate is ultimately issued.
• The fee is fixed and becomes payable in full upon acceptance of the order form.
• Fees do not include any third-party costs (such as conveyancing, legal, financial, or accounting fees) unless expressly stated. Where third-party costs are incurred as part of delivering the Service, any refundable amounts will be adjusted accordingly.

4. Use of the Service Output

• The results generated by the Compass Calculation platform are provided solely for use in connection with the transaction specified in your order form.
• The Calculation Certificate and Calculation Audit Document are indemnified as part of our Service offering.
• You may not reuse, share, or disclose the calculation output to any third party without our prior written consent. Any reliance on the output by any party other than you is at their own risk.

5. Professional Indemnity Insurance
We maintain Professional Indemnity Insurance (PII) with cover of £1,500,000 for any single engagement, including three-year run-off cover in the event of cessation of trading. A copy of our current PII cover certificate is available on request.

6. Commencement and Duration
This engagement commences upon our receipt of your signed order form and payment, at which point you are bound by these Terms and Conditions. The engagement remains in effect until the completion of the calculation process.

7. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with English law. You agree that the Courts of England shall have exclusive jurisdiction to settle any disputes arising out of or in connection with this engagement.

8. Entire Agreement and Amendments
These Terms and Conditions, together with any documentation referenced herein, constitute the entire agreement between the parties in relation to the Compass Gateway Service. Any amendments or variations to these Terms must be agreed in writing and signed by both parties.
